Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Banquetly (“Service”), operated by Banquetly (“we”, “us”, “our”). By creating an account or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By accessing or using Banquetly, you confirm that you are at least 16 years old, have the authority to bind your organization to these Terms, and have read and agree to these Terms and our Privacy Policy.

2. Account Registration

You must provide accurate, complete information when creating an account. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. Notify us immediately at hello@banquetly.app if you suspect unauthorized access.

3. Use of the Service

You agree not to:

• Use the Service for any unlawful purpose or in violation of any regulations.
• Attempt to gain unauthorized access to any part of the Service or its infrastructure.
• Upload malicious code, viruses, or any content that disrupts the Service.
• Reverse engineer, decompile, or attempt to extract the source code of the Service.
• Resell or sublicense the Service without our written permission.
• Impersonate any person or organization.

4. Subscription and Billing

Paid plans are billed monthly (or annually, where applicable) in advance. All fees are non-refundable except as required by law or as described in our refund policy. We reserve the right to change pricing with 30 days' notice. Continued use after a price change constitutes acceptance of the new price.

If a payment fails, we will attempt to charge your payment method for up to 7 days before suspending your account. Your data is retained during the suspension period.

5. Free Trial

We offer a 14-day free trial for paid plans, no credit card required. At the end of the trial, you may choose to subscribe or your account will revert to the Free plan. No charges are made without your explicit consent.

6. Intellectual Property

Banquetly and its original content, features, and functionality are owned by Banquetly and are protected by intellectual property laws. You retain full ownership of all data you create within the Service (events, floor plans, guest lists, BEOs). You grant us a limited license to store and process that data solely to provide the Service to you.

7. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

8. Uptime and Service Availability

We aim for 99.9% uptime but do not guarantee uninterrupted service. Scheduled maintenance will be announced in advance where possible. We are not liable for losses arising from downtime, data loss, or service interruptions beyond our reasonable control.

9. Limitation of Liability

To the maximum extent permitted by law, Banquetly shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of revenue, loss of data, or business interruption, arising from your use of or inability to use the Service, even if advised of the possibility of such damages.

Our total aggregate liability for any claim arising from these Terms or the Service shall not exceed the amount you paid us in the three months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless Banquetly and its officers, employees, and agents from any claims, damages, or expenses (including legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

11. Termination

You may cancel your account at any time from the account settings page. We reserve the right to suspend or terminate accounts that violate these Terms, with or without notice. Upon termination, your right to use the Service ceases immediately.

12. Governing Law

These Terms are governed by the laws of the Kingdom of Cambodia, without regard to conflict-of-law principles. Any disputes shall be resolved in the competent courts of Phnom Penh, Cambodia.

13. Changes to Terms

We may update these Terms at any time. We will notify registered users of material changes by email at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
